Plain English summary: Use Paperocket fairly, pay your subscription, don't do anything illegal, and your data stays yours. We can suspend accounts that violate these terms.

1. Acceptance of terms

By accessing or using Paperocket ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of service

Paperocket is a document intelligence platform that ingests, classifies, and manages business documents. Features include document ingestion via WhatsApp, email, and cloud storage; OCR and automatic classification; approval workflows; and integrations with accounting platforms.

We reserve the right to modify, suspend, or discontinue features with reasonable notice.

5. Your content

Ownership: You retain full ownership of all documents and data you upload to Paperocket. We claim no intellectual property rights over your content.

Licence to us: By using the Service, you grant Paperocket a limited, non-exclusive licence to store, process, and display your content solely to provide the Service to you.

Responsibility: You are responsible for ensuring you have the right to upload and process the documents you submit. Do not upload documents containing other people's personal data without appropriate legal basis.

No training: We do not use your documents to train shared machine learning models or share your content with other customers.

6. Subscriptions and billing

Plans

Paperocket is offered on monthly or annual subscription plans. Plan details, including storage limits and feature access, are described on the pricing page.

Payment

Subscriptions are billed in advance. Payments are processed by Stripe. By providing payment details, you authorise us to charge your payment method at each renewal period.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.

Price changes

We will provide at least 30 days' notice of any price changes. Continued use after the effective date constitutes acceptance.

Overdue payments

Accounts with overdue payments may be suspended until payment is resolved. Data is retained for 30 days after suspension before deletion.

7. Intellectual property

Paperocket and its original content, features, and functionality are owned by Paperocket Ltd and protected by intellectual property laws. You may not copy, reproduce, or create derivative works from the Service without our prior written consent.

8. Integrations and third parties

The Service integrates with third-party platforms including Google Drive, WhatsApp (via Twilio), Xero, and QuickBooks. Your use of those integrations is subject to the respective providers' terms and privacy policies. We are not responsible for the availability or behaviour of third-party services.

9. Availability and support

We aim for 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible.

Support is provided via email. Response times vary by plan. We do not guarantee resolution times for all issues.

10. Limitation of liability

To the maximum extent permitted by law, Paperocket Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of data, loss of revenue, or business interruption.

Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by New Zealand law.

11. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of termination unless legally required to retain it.

12. Governing law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.

If you are accessing the Service from outside New Zealand, you are responsible for compliance with your local laws.

13. Changes to these terms

We may update these Terms from time to time. We'll notify you via email or in-app notice at least 14 days before material changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
